An exciting opportunity to join a leading provider of fund administration, private client, and corporate services in a pivotal governance role. Our client is embarking on a significant phase of growth and transformation and is seeking a strategic, proactive Group Company Secretary to support its Board, enhance governance frameworks, and oversee key statutory and regulatory requirements across multiple jurisdictions.

Responsibilities

Duties for this role include, but are not limited to:
Advising the Board, Committees, and senior executives on corporate governance practices, legal requirements, and fiduciary duties.
Supporting the Group Head of Risk and Compliance in maintaining regulatory compliance across all jurisdictions.
Overseeing and maintaining statutory registers, authorised signatory lists, group structure charts, and other governance records.
Providing full governance support for Board and Committee meetings, including preparation, minute taking, distribution of materials, and follow-ups on actions.
Drafting Company Secretary reports and supporting director appointments, succession planning, and board composition.
Ensuring timely statutory filings and corporate reporting across group entities in Guernsey and other jurisdictions.
Leading the coordination of AGMs and EGMs, facilitating shareholder communications and engagement.
Assisting with corporate transactions, restructures, policy development, and governance-led initiatives.
Supporting and developing the Company Secretarial function to ensure high standards across governance activity.

Skills / Qualifications

The ideal candidate will hold a relevant qualification such as ICSA Chartered Governance Professional (or equivalent) and bring at least five years’ experience in a company secretarial role within financial services. They will possess a deep understanding of corporate governance frameworks, Guernsey Company Law, and regulatory obligations across multiple jurisdictions. Strong written and verbal communication skills, excellent attention to detail, and the ability to operate with integrity and professionalism are essential. The successful applicant will be comfortable working with senior leadership, managing complex governance processes, and proactively contributing to strategic initiatives. Experience with ESG reporting, board evaluations, and company-wide compliance frameworks would be advantageous.
