Our client is seeking a Company Secretary to join a leading organisation providing company secretarial and governance services to a portfolio of private and listed funds. This role involves supporting board-level activity, ensuring compliance with regulatory frameworks, and contributing to the smooth administration of corporate entities and limited partnerships across multiple jurisdictions.

Responsibilities
Duties for this role include, but are not limited to:Convening and attending board and committee meetings, managing associated scheduling and logistics.
Preparing agendas, meeting packs, action points, and clear, accurate minutes.
Supporting the formation and maintenance of corporate entities and limited partnerships across various jurisdictions.
Maintaining statutory registers and ensuring accurate updates to internal systems.
Ensuring compliance with corporate governance frameworks, regulatory requirements, and best practice procedures.
Coordinating and issuing stock exchange announcements when required.
Liaising with board members, legal advisors, registrars, and internal stakeholders.
Drafting notices, resolutions, and documentation for general meetings, and managing proxy coordination.
Completing statutory filings and ensuring timely payment of associated fees.
Assisting with new client onboarding procedures from a company secretarial perspective.
